Terms of Service

1. Agreement to Terms

By accessing or using PatchMon's website (patchmon.net), software, and services (collectively, the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not use the Services.

These Terms constitute a legally binding agreement between you and PatchMon Ltd, registered at 71-75 Shelton Street, Covent Garden, London, United Kingdom, WC2H 9JQ (“PatchMon”, “we”, “us”, “our”).

2. Description of Services

PatchMon provides patch management and monitoring software in three editions:

  • Community Edition: open-source software licensed under the GNU Affero General Public License v3 (AGPLv3). Use of Community Edition is governed by the AGPLv3 licence.
  • PRO Edition: commercially licensed software with additional features and support. Use is governed by the PatchMon PRO licence agreement provided at the time of purchase.
  • Cloud: a managed, hosted version of PatchMon provided as a service.

3. Accounts

To access certain features, you may need to create an account. You are responsible for:

  • Providing accurate and complete registration information.
  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorised use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms or our Acceptable Use Policy.

4. Subdomain and Workspace Names

When you sign up for PatchMon Cloud, you choose a workspace name that forms part of your subdomain (for example, yourcompany.eu-west-2.patchmon.cloud). You are responsible for ensuring that the workspace name you choose is one you are lawfully entitled to use.

You must not register a workspace name that:

  • Infringes on any third party's trademark, brand, registered name, or other intellectual property rights.
  • Impersonates another person, company, or organisation you have no lawful right to represent.
  • Is offensive, abusive, misleading, or likely to cause confusion.
  • Is registered speculatively, held for resale, or otherwise reserved with the intent to profit from a name you do not have a legitimate claim to (“name squatting”).

To reduce the risk of inadvertent infringement at signup, PatchMon maintains a reserved-name list of several hundred globally recognised trademarks, brands, and protected names. Workspace names on this list are not available through self-serve signup and are released only to the verified rights holder. The list is maintained at PatchMon's discretion and may be updated from time to time. The reserved list is a first line of defence, not an exhaustive check: the obligations in this section apply to every workspace name regardless of whether it appears on the list.

PatchMon operates an anti-squatting policy. We may, at our discretion and with reasonable notice where practical, suspend, rename, or reclaim any workspace name that we reasonably believe breaches the terms above, or that is the subject of a legitimate complaint from a rightful brand or trademark holder. If your workspace name is reclaimed, your underlying account, data, and service remain intact and you will be given a reasonable opportunity to choose an alternative name. Workspace names that are released may subsequently be made available to other customers.

5. Payment and Subscriptions

For paid Services (PRO and Cloud), the following terms apply:

  • Fees are as stated at the time of purchase and are payable in advance.
  • Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date.
  • We may change pricing with at least 30 days' notice before the next billing period.
  • Refunds are handled in accordance with applicable consumer protection laws. For UK/EU consumers, statutory cancellation rights apply.

6. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with our Acceptable Use Policy. You must not use the Services to:

  • Violate any applicable law or regulation.
  • Infringe upon the intellectual property or other rights of any third party.
  • Transmit malware, viruses, or any other harmful code.
  • Attempt to gain unauthorised access to our systems or other users' accounts.
  • Interfere with or disrupt the integrity or performance of the Services.

7. Intellectual Property

The PatchMon Community Edition source code is licensed under AGPLv3. All other intellectual property rights in the Services, including but not limited to the PatchMon name, logo, PRO features, and Cloud infrastructure, are owned by PatchMon Ltd and protected by applicable intellectual property laws.

Your use of the Services does not grant you any rights to our trademarks, service marks, or trade dress.

8. Data and Privacy

Your use of the Services is also governed by our Privacy Policy. For PatchMon Cloud users, you retain ownership of all data you submit to the Service. We process your data solely to provide and improve the Services.

9. Disclaimers and Limitation of Liability

The Services are provided “as is” and “as available” without warranties of any kind, either express or implied, to the maximum extent permitted by law.

To the fullest extent permitted by applicable law, PatchMon shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or in connection with your use of the Services.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by law.

10. Indemnification

You agree to indemnify, defend, and hold harmless PatchMon and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of your use of the Services or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time for violation of these Terms, with or without notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Services ceases immediately.
  • We will make your data available for export for a reasonable period (at least 30 days) following termination.
  • Provisions that by their nature should survive termination will survive, including intellectual property, disclaimers, and limitation of liability.

12. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these Terms or your use of the Services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer in the EU/EEA, you retain any mandatory consumer protection rights afforded to you by the laws of your country of residence.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Services after any changes constitutes acceptance of the new Terms.
